GIVEBRICK CAMPAIGN ORGANIZER AGREEMENT

This Campaign Organizer Agreement ("Agreement") is entered into between Tessable LLC, doing business as GiveBrick ("GiveBrick," "we," "us," or "our"), and the organization identified through the GiveBrick campaign onboarding process ("Organizer," "you," or "your").
This Agreement governs each fundraising, recognition, sponsorship, or community-support campaign that Organizer creates or operates using GiveBrick (each, a "Campaign").
By electronically accepting this Agreement, the individual accepting it represents that the individual has authority to bind Organizer and agrees that Organizer will be legally bound by this Agreement.
1. Incorporated Policies and Order of Precedence
This Agreement incorporates GiveBrick's then-current:
- Terms of Service;
- Privacy Policy;
- Acceptable Use Policy;
- Refund Policy; and
- any campaign-specific terms or disclosures presented and affirmatively accepted during onboarding.
Together, those documents and this Agreement constitute the agreement between Organizer and GiveBrick concerning Organizer's use of the platform.
If a direct conflict exists between this Agreement and the general Terms of Service, this Agreement controls solely with respect to Organizer's operation of a Campaign. The Terms of Service control on all other matters, including governing law, forum, disclaimers, limitations of liability, and general use of the GiveBrick service.
2. GiveBrick Service and Campaign Model
GiveBrick provides a hosted digital mosaic and recognition platform through which approved organizations may offer supporters personalized digital bricks, tiles, recognition placements, sponsorships, or other approved campaign benefits.
Unless GiveBrick expressly approves another model in writing, every Campaign operates on a keep-what-you-raise basis:
- Each completed payment is processed when the supporter completes checkout.
- No minimum fundraising target must be reached before Organizer is entitled to its share.
- GiveBrick does not escrow Campaign proceeds pending satisfaction of a goal.
- Campaign goals are aspirational unless the Campaign materials expressly and lawfully state otherwise.
- Organizer's failure to reach a stated goal does not automatically entitle supporters to refunds.
GiveBrick does not offer an all-or-nothing, contingency, escrow, or delayed-release funding model under this Agreement.
3. Eligibility, Verification, and Approval
3.1 No automatic right to operate a Campaign
Creating an account, submitting an application, connecting a Stripe account, or providing verification information does not create a right to publish or operate a Campaign.
Every Campaign is subject to GiveBrick's verification, review, and approval.
GiveBrick may approve, condition, decline, suspend, or remove a Campaign when GiveBrick reasonably determines that the Campaign presents legal, regulatory, payment, fraud, safety, reputational, or operational risk.
3.2 Organization verification
Organizer must provide complete, current, and accurate information requested by GiveBrick, including information concerning:
- Organizer's legal name and any trade or assumed name;
- Employer Identification Number or other governmental identifier;
- tax-exempt or organizational status;
- principal or registered address;
- Stripe connected account and legal payee;
- the identity, title, contact information, and authority of the Campaign's representative;
- Campaign classification;
- the Campaign's purpose and intended use of proceeds;
- any goods, services, recognition, privileges, or other benefits offered to supporters; and
- any registration, exemption, authorization, license, or filing relevant to the Campaign.
GiveBrick may verify this information through governmental records, payment-provider information, independently obtained organization contact information, public sources, documentary review, and direct confirmation with an authorized organization representative.
3.3 Legal-entity and payment-account match
The legal person or entity entitled to receive Campaign proceeds must match the legal person or entity associated with the connected Stripe account.
A trade name, assumed name, affiliate arrangement, fiscal relationship, or other discrepancy does not pass automatically. GiveBrick may require documentation and manual approval establishing the relationship among:
- the Campaign's public-facing organization name;
- the organization identified in governmental records;
- the connected Stripe account holder; and
- the bank account receiving Stripe payouts.
3.4 Authorized representative
The person authorizing the Campaign must hold a position reasonably capable of approving the Campaign and binding Organizer.
GiveBrick may require approval from an officer, executive director, chief executive, chief financial officer, board chair, authorized board member, or another representative whose authority GiveBrick verifies through independent evidence.
Possession of an organization email address, use of an organization domain, or self-attestation alone does not establish authority.
3.5 Reverification
Organizer's authority is treated as current for no more than twelve months from the most recent successful authority verification.
GiveBrick may require reverification sooner if it becomes aware of:
- a change in Organizer's legal identity;
- a change in the Stripe connected account or legal payee;
- a change in leadership or the authorized representative;
- a lapse, revocation, suspension, or material change in legal or tax status;
- an address change affecting Campaign eligibility;
- an authority dispute;
- a governmental or payment-provider inquiry;
- suspected fraud or misuse; or
- another material fact calling prior verification into question.
When verification expires or becomes adverse, GiveBrick may automatically prevent publication and pause new payments until verification is restored.
GiveBrick is not required to send an advance renewal reminder. Failure to receive a reminder does not extend Organizer's verification period.
4. Organizer Authority and Continuing Representations
Organizer represents, warrants, and agrees that:
- The individual accepting this Agreement has authority to bind Organizer.
- Organizer has authorized the Campaign and the receipt and use of Campaign proceeds.
- All information Organizer provides is complete, current, accurate, and not misleading.
- Organizer will promptly notify GiveBrick of any change that could affect eligibility, authority, legal status, payment status, or the accuracy of Campaign disclosures.
- Organizer will not impersonate another person or organization or operate a Campaign for an undisclosed beneficiary.
- Organizer will not circumvent GiveBrick's verification, jurisdictional, payment, or publication controls.
- Organizer will not permit another person or entity to use Organizer's Campaign or Stripe account to receive funds without GiveBrick's prior written approval.
- Organizer has obtained every internal approval required by its governing documents, board, officers, policies, contracts, and applicable law.
- Organizer will maintain records supporting its authority and compliance for the period required by applicable law.
- Organizer will cooperate reasonably with GiveBrick's verification, review, audit, complaint, refund, dispute, and regulatory-response processes.
These representations continue throughout the Campaign and are renewed whenever Organizer republishes, materially changes, or reauthorizes the Campaign.
5. Campaign Classification and Supporter Disclosures
5.1 Required classification
Organizer must select and maintain the Campaign classification required by GiveBrick.
Available classifications may include:
- No material benefit: the supporter receives no substantial goods or services in return for the payment.
- Insubstantial recognition benefit: the supporter receives only recognition or another benefit that Organizer reasonably determines may be disregarded under applicable law.
- Quid pro quo: the supporter receives goods, services, privileges, recognition, sponsorship rights, or another material benefit.
- Commercial purchase or sponsorship: the payment is treated as a purchase, sponsorship, advertising arrangement, or other commercial transaction without a charitable-deduction representation.
GiveBrick may restrict which classifications are available based on Organizer type, Campaign design, jurisdiction, or GiveBrick's current compliance program.
5.2 Organizer controls the classification
Organizer--not GiveBrick--is responsible for:
- selecting the correct Campaign classification;
- determining whether a payment has a donative component;
- determining whether a benefit is material or insubstantial;
- determining whether any portion may qualify as a charitable contribution;
- determining the fair-market value of goods or services; and
- providing every disclosure and acknowledgment required from the recipient organization.
GiveBrick may reject a classification that appears incomplete, inconsistent, unsupported, or inappropriate. GiveBrick's review does not transfer Organizer's responsibility to GiveBrick.
5.3 Information displayed by GiveBrick
Organizer authorizes GiveBrick to display and deliver Organizer-supplied Campaign, tax, benefit, and fair-market-value information on Organizer's behalf.
Organizer represents that all such information is accurate and complete.
GiveBrick may display the applicable information:
- on the Campaign page;
- before payment;
- during checkout;
- in the payment confirmation; and
- in later transaction communications.
GiveBrick does not independently certify Organizer's charitable status, deductibility determination, or fair-market-value estimate.
6. Charitable-Solicitation, Fundraising, Tax, and Consumer-Protection Responsibilities
6.1 Organizer-specific responsibilities
Organizer is responsible for the lawful operation of Organizer and the Campaign, including compliance with all charitable-solicitation, fundraising, registration, reporting, tax, advertising, and consumer-protection requirements applicable to:
- Organizer;
- the Campaign;
- Campaign content supplied or approved by Organizer;
- Organizer's statements and promises;
- Organizer's intended use of proceeds;
- the benefits Organizer offers;
- Organizer's solicitation and promotional activity; and
- Organizer's communications with supporters.
Without limiting the foregoing, Organizer is responsible for:
- determining whether it is registered, exempt, excluded, or otherwise authorized to solicit and receive funds in each applicable jurisdiction;
- maintaining required registrations, exemptions, licenses, filings, reports, bonds, approvals, and renewals;
- complying with restrictions applicable to charitable assets and restricted-purpose funds;
- accurately describing Organizer, the Campaign, its purpose, its beneficiaries, and the intended use of proceeds;
- ensuring that Campaign statements are truthful, substantiated, not misleading, and not materially incomplete;
- determining the tax treatment of payments;
- determining whether any payment or portion of a payment may be described as tax deductible;
- providing charitable acknowledgments and substantiation documents;
- determining and providing good-faith fair-market-value estimates;
- making required quid-pro-quo disclosures;
- delivering promised goods, services, recognition, sponsorship rights, or other benefits;
- complying with sales, use, income, unrelated-business-income, and other tax obligations applicable to Organizer, except to the extent GiveBrick is legally required to collect or remit a particular tax;
- responding to supporter questions concerning Organizer, the Campaign, the use of proceeds, deductibility, acknowledgments, and Campaign benefits; and
- maintaining records sufficient to support Organizer's representations, filings, acknowledgments, and use of proceeds.
6.2 GiveBrick's platform responsibilities
Nothing in this Agreement transfers to Organizer responsibility for GiveBrick's own conduct.
GiveBrick remains responsible for:
- the accuracy of GiveBrick's own descriptions of the platform;
- GiveBrick's disclosure of its platform fee and payment process;
- GiveBrick's own advertising and marketing claims;
- disclosures GiveBrick is independently required to make as a platform or service provider;
- GiveBrick's privacy and data-security obligations;
- processing platform fees consistently with the terms presented to Organizer and supporters; and
- GiveBrick's own breach of this Agreement, gross negligence, willful misconduct, or violation of applicable law.
6.3 Verification is not legal advice
GiveBrick's verification, classification, review, approval, state exclusion, or payment controls:
- are risk-management measures;
- do not constitute legal or tax advice;
- do not guarantee Organizer's compliance;
- do not determine every law that may apply; and
- do not relieve Organizer of its own legal obligations.
Organizer should obtain its own legal, tax, and accounting advice when appropriate.
7. Campaign Content, Promises, and Use of Proceeds
Organizer represents, warrants, and agrees that:
- Campaign content is truthful, accurate, substantiated, and not misleading.
- Organizer will disclose material conditions, restrictions, deadlines, and uncertainties.
- Organizer will not guarantee a result that Organizer cannot reasonably deliver.
- Organizer will use proceeds consistently with the purpose presented to supporters and applicable law.
- Organizer will not materially redirect proceeds without lawful authority and appropriate supporter disclosures.
- Organizer will fulfill approved goods, services, recognition, sponsorship, or other benefits as represented.
- Organizer will not use Campaign proceeds for an unlawful purpose or prohibited activity.
- Organizer will not use GiveBrick to conceal the identity of the true beneficiary or recipient.
- Organizer will promptly correct inaccurate Campaign information.
- Organizer will notify GiveBrick of a material Campaign failure, misuse of proceeds, authority dispute, or inability to fulfill a promised benefit.
GiveBrick may require corrective disclosures, suspend checkout, hide Campaign content, or terminate the Campaign when GiveBrick reasonably believes these obligations have been violated.
8. Intellectual Property, Publicity, and Likeness Rights
Organizer retains ownership of content Organizer provides, subject to the license granted below.
Organizer represents and warrants that it owns or has obtained all rights, permissions, releases, licenses, and consents necessary to use and authorize GiveBrick to use:
- images;
- photographs;
- artwork;
- logos;
- trademarks;
- names;
- messages;
- likenesses;
- memorial content;
- copyrighted material; and
- every other Campaign asset.
Organizer grants GiveBrick a worldwide, nonexclusive, royalty-free license during the term of the Campaign to host, reproduce, display, format, resize, adapt, distribute, and otherwise use Campaign content as reasonably necessary to:
- operate and display the Campaign;
- provide Campaign previews and sharing features;
- process supporter transactions;
- provide support and security;
- comply with law; and
- identify or promote the Campaign with Organizer's approval or as otherwise permitted by the Terms of Service.
Organizer may not upload content that infringes intellectual-property, publicity, privacy, contractual, or likeness rights.
9. Fees and Organizer Share
9.1 Brick price
Organizer selects the supporter-facing price for each brick or approved Campaign item, subject to GiveBrick's minimums, maximums, and review requirements ("Brick Price").
9.2 Organizer Share
For each completed and undisputed transaction, Organizer's share is 85% of the Brick Price ("Organizer Share").
Ordinary card-processing costs are included within GiveBrick's 15% platform fee and are not separately deducted from Organizer's 85% share.
The Organizer Share excludes:
- optional supporter tips to GiveBrick;
- optional amounts paid by a supporter to cover processing;
- taxes collected in addition to the Brick Price;
- refunded amounts;
- disputed or charged-back amounts; and
- other amounts clearly disclosed as not belonging to Organizer.
9.3 GiveBrick platform fee
GiveBrick retains 15% of the Brick Price as its platform service fee.
The platform service fee compensates GiveBrick for services that may include:
- campaign hosting;
- mosaic technology;
- verification and review;
- ordinary card processing;
- transaction infrastructure;
- supporter payment confirmations;
- platform administration;
- customer support;
- security and fraud controls; and
- other services associated with operating GiveBrick.
GiveBrick may not increase the percentage applicable to an already published Campaign without Organizer's affirmative agreement, except where a change is required by law or payment-network rules and Organizer is given notice and an opportunity to stop new transactions.
9.4 Optional processing cover
GiveBrick may allow a supporter to pay an optional additional amount intended to offset payment-processing costs.
Any processing-cover amount:
- is optional;
- must be disclosed before payment;
- is not part of the Brick Price;
- is not part of the Organizer Share; and
- is retained by GiveBrick.
9.5 Optional tips
GiveBrick may allow a supporter to add an optional tip to GiveBrick.
A tip:
- is voluntary;
- is not part of the Brick Price;
- is not part of Campaign proceeds;
- is not paid to Organizer; and
- is retained by GiveBrick.
10. Stripe Connected Account and Direct Charges
10.1 Connected account required
Organizer must establish and maintain an eligible Stripe connected account associated with Organizer's verified legal entity and bank account.
Organizer must satisfy Stripe's onboarding, identity, account, payment, and payout requirements.
GiveBrick may block publication or payment acceptance if:
- no connected account exists;
- charges are not enabled;
- payouts are not enabled;
- required information is overdue;
- the account is restricted;
- the legal entity does not match Organizer; or
- GiveBrick or Stripe identifies material payment risk.
10.2 Direct-charge structure
Supporter payments for third-party Campaigns are created as direct charges on Organizer's connected Stripe account.
Accordingly:
- the charge appears on Organizer's connected account;
- Organizer's connected-account balance receives the payment;
- GiveBrick's platform fee is collected as a Stripe application fee;
- Stripe controls the timing and availability of payouts;
- Stripe pays Organizer's available balance to Organizer's verified bank account according to Stripe's payout schedule; and
- GiveBrick does not routinely receive, pool, escrow, or hold Organizer's Campaign proceeds.
Organizer acknowledges that Stripe--not GiveBrick--provides the connected account, payment processing, account balance, and payout services.
Organizer's use of those services is also subject to Stripe's agreements and policies.
10.3 No routine GiveBrick reserve
GiveBrick does not routinely maintain a reserve of Organizer's Campaign funds and does not control Stripe's ordinary payout schedule.
Stripe may impose reserves, negative balances, payout delays, restrictions, or other risk controls under Stripe's own terms.
GiveBrick may pause Campaign publication or new payment acceptance when reasonably necessary to address verification, fraud, legal, payment, or operational risk. Such a pause does not constitute GiveBrick's custody of Organizer funds.
11. Refunds
11.1 Refund policy
Refund eligibility and procedures are governed by GiveBrick's Refund Policy and applicable law.
Organizer must cooperate with reasonable refund requests and provide information needed to evaluate them.
11.2 Source of refunds
Because the payment is a direct charge on Organizer's connected Stripe account, the refunded transaction amount is ordinarily debited from that account.
For a refund processed through GiveBrick's supported refund procedure:
- a full refund will include the corresponding full GiveBrick platform fee;
- a partial refund will include the corresponding proportional GiveBrick platform fee; and
- GiveBrick will initiate the applicable application-fee refund through Stripe.
Organizer remains responsible for the portion of the original payment credited to Organizer and for any Campaign benefit or fulfillment issue giving rise to the refund.
11.3 Failed refunds
If Organizer's connected account has insufficient funds, is restricted, is closed, or otherwise cannot complete a required refund, Organizer remains responsible for the refund obligation.
Organizer must cooperate with GiveBrick and Stripe to complete the refund and resolve any resulting negative balance.
12. Disputes, Chargebacks, and Negative Balances
12.1 Disputed transaction amount
Organizer bears the amount of a refunded, disputed, reversed, or charged-back Campaign transaction.
Because the transaction is created on Organizer's connected Stripe account, Stripe may debit the disputed amount from:
- Organizer's connected-account balance;
- future payment volume;
- a negative balance; or
- another recovery method permitted under Organizer's Stripe agreement.
12.2 Dispute fee
GiveBrick bears the ordinary per-dispute processing fee associated with a Campaign transaction.
If Stripe initially debits that ordinary fee from Organizer's connected account, GiveBrick will provide the corresponding reimbursement or account credit through the procedure GiveBrick designates.
This obligation does not cover extraordinary penalties, network assessments, fraud losses, monitoring-program fees, or other charges caused by Organizer's unlawful conduct, material misrepresentation, prohibited activity, or repeated failure to address known Campaign problems.
12.3 Cooperation
Organizer must:
- promptly provide evidence reasonably requested to contest a dispute;
- accurately describe the transaction and Campaign benefit;
- preserve relevant records;
- respond within Stripe's required deadlines; and
- avoid making false or misleading dispute submissions.
GiveBrick may submit information on Organizer's behalf but does not guarantee the outcome.
12.4 No double recovery
Organizer is not required to reimburse GiveBrick for an amount that GiveBrick did not actually pay or that GiveBrick has already recovered from Stripe, a supporter, insurance, or another source.
If GiveBrick pays an Organizer obligation to prevent platform harm or satisfy a legal or payment-provider requirement, Organizer must reimburse GiveBrick only for the documented net loss actually incurred and not otherwise recovered.
13. Payment Confirmations and Charitable Acknowledgments
13.1 GiveBrick payment confirmation
GiveBrick may send a payment confirmation identifying:
- the payment amount;
- payment date;
- Campaign;
- selected brick or item;
- supporter-supplied name or message;
- transaction status; and
- Organizer-supplied classification or benefit information.
A GiveBrick payment confirmation is not, by itself, a charitable tax acknowledgment from the recipient organization.
13.2 Organizer acknowledgment duty
Organizer is responsible for issuing any charitable acknowledgment, year-end statement, substantiation document, or other donee communication required by law.
GiveBrick may provide Organizer with a supporter and transaction data export to facilitate these duties.
13.3 Quid-pro-quo campaigns
For a quid-pro-quo Campaign, Organizer must:
- identify the goods, services, privileges, sponsorship rights, recognition, or other benefit;
- determine a reasonable good-faith fair-market value;
- provide that value to GiveBrick;
- certify the accuracy and good-faith basis of that value;
- provide or approve the required deductibility statement; and
- authorize GiveBrick to display and deliver the disclosure on Organizer's behalf.
GiveBrick may block publication or payment acceptance until this information is complete.
GiveBrick will not independently assign a fair-market value on Organizer's behalf.
14. Supporter and Campaign Data
14.1 No co-ownership
Personal information is not "owned" jointly by GiveBrick and Organizer.
Each party acts as an independent business or controller with respect to personal information it collects or receives for its own lawful purposes, subject to applicable law and the GiveBrick Privacy Policy.
14.2 GiveBrick processing
GiveBrick may collect and process information as reasonably necessary to:
- operate the platform;
- process and document transactions;
- provide payment confirmations;
- maintain Campaign records;
- prevent fraud and abuse;
- provide customer support;
- enforce policies;
- comply with legal obligations; and
- protect GiveBrick, Organizer, supporters, and the public.
Stripe separately processes payment-card and financial-account information under Stripe's own policies.
14.3 Organizer access and permitted use
GiveBrick may provide Organizer with supporter and transaction information reasonably necessary to:
- administer the Campaign;
- provide promised recognition or benefits;
- issue required acknowledgments and disclosures;
- respond to supporter inquiries;
- maintain legally required records; and
- communicate with supporters concerning Organizer and the Campaign, where permitted by law and the applicable privacy notice.
Organizer may not:
- sell or rent supporter personal information;
- use the information for an unrelated or undisclosed purpose;
- disclose it to data brokers;
- use it in violation of applicable privacy, marketing, or communications law;
- retain it longer than reasonably necessary or legally required;
- attempt to obtain payment-card data from Stripe or GiveBrick; or
- use it to promote an unrelated third party without an independent lawful basis and any required consent.
14.4 Security and privacy requests
Organizer must implement reasonable administrative, technical, and physical safeguards appropriate to the information it receives.
Organizer must promptly notify GiveBrick of:
- unauthorized access;
- loss or disclosure of supporter information;
- a security incident;
- a privacy complaint; or
- a governmental inquiry relating to GiveBrick-provided data.
Each party is responsible for responding to privacy requests directed to that party concerning data that party controls. The parties will reasonably cooperate when a request implicates both parties' records.
14.5 GiveBrick marketing limitations
GiveBrick will not sell or rent Campaign supporter information to data brokers.
GiveBrick will not use supporter information obtained through Organizer's Campaign to cross-market a competing organization's Campaign, except where the supporter independently requests or consents to broader GiveBrick communications.
GiveBrick may communicate with supporters regarding:
- payment confirmations;
- transaction status;
- refunds and disputes;
- security and fraud;
- legal notices;
- supporter-requested assistance; and
- operation of the Campaign or platform.
15. Suspension, Removal, and Termination
GiveBrick may suspend publication, pause checkout, remove content, require corrective action, or terminate a Campaign when GiveBrick reasonably believes that:
- verification is incomplete, expired, or adverse;
- Organizer lacks authority;
- the Campaign violates law or GiveBrick policy;
- Campaign content is false, misleading, infringing, unsafe, or unauthorized;
- Organizer has misused or may misuse Campaign proceeds;
- Organizer has failed to provide promised benefits;
- the connected Stripe account is restricted or mismatched;
- fraud, excessive disputes, or payment risk exists;
- Organizer fails to cooperate with a material complaint or regulatory inquiry;
- continued operation could harm supporters, GiveBrick, Stripe, or the public; or
- suspension is required by law, a governmental authority, or a payment provider.
When practicable and legally permitted, GiveBrick will provide Organizer with notice and an opportunity to correct a remediable issue.
GiveBrick may act immediately when delay could expose supporters, funds, data, or the platform to material risk.
Termination does not eliminate:
- obligations concerning completed transactions;
- refund and dispute responsibilities;
- tax and acknowledgment duties;
- data-protection obligations;
- indemnification obligations; or
- provisions that by their nature should survive.
16. Organizer Indemnification
Organizer will indemnify, defend, and hold harmless Tessable LLC d/b/a GiveBrick and its members, officers, employees, contractors, and agents from third-party claims, governmental proceedings, penalties, losses, liabilities, damages, and reasonable legal expenses arising from or relating to:
- Organizer's breach of this Agreement;
- Organizer's lack of authority;
- false, misleading, incomplete, or unauthorized Campaign statements supplied or approved by Organizer;
- Organizer's failure to maintain a required registration, exemption, authorization, filing, or approval;
- Organizer's tax-deductibility representation;
- Organizer's fair-market-value determination;
- Organizer's charitable acknowledgment or required donor disclosure;
- Organizer's failure to provide promised goods, services, recognition, sponsorship rights, or other benefits;
- Organizer's misuse or misapplication of Campaign proceeds;
- Organizer's violation of charitable-solicitation, fundraising, tax, advertising, consumer-protection, privacy, intellectual-property, publicity, or other law;
- Campaign content supplied or approved by Organizer;
- Organizer's infringement or unauthorized use of intellectual-property, privacy, or likeness rights; or
- Organizer's unlawful or prohibited activity.
This indemnification does not apply to the extent a claim or loss was caused by GiveBrick's breach of this Agreement, gross negligence, willful misconduct, or independent violation of law.
GiveBrick will provide reasonable notice of an indemnified claim and permit Organizer to participate in the defense, provided that Organizer may not settle a claim in a manner that admits wrongdoing by GiveBrick, imposes an obligation on GiveBrick, or restricts GiveBrick's operations without GiveBrick's written consent.
17. Changes to Campaign Terms
GiveBrick may update this Agreement prospectively to address:
- legal or regulatory changes;
- payment-provider requirements;
- new or modified services;
- security or fraud risks;
- operational changes; or
- clarification of existing obligations.
GiveBrick will identify the Agreement version and effective date.
A material change affecting an active Campaign will not bind Organizer solely because GiveBrick posts revised language. GiveBrick will provide notice and obtain affirmative acceptance where required by law or where the change materially alters Organizer's economic or legal obligations.
GiveBrick may require acceptance of an updated Agreement before Organizer:
- creates a new Campaign;
- republishes a Campaign;
- makes a material Campaign change; or
- resumes a Campaign after suspension.
18. Electronic Acceptance and Records
Organizer agrees to transact electronically.
Acceptance occurs when Organizer's authorized representative affirmatively selects an unchecked agreement box or uses another conspicuous electronic-acceptance mechanism linked to this Agreement and then submits or activates the Campaign.
GiveBrick may retain evidence including:
- the Agreement version;
- the Agreement text or immutable version reference;
- date and time of acceptance;
- Organizer's legal name;
- Campaign identifier;
- signatory name;
- signatory title;
- authenticated user identifier;
- signatory email address;
- Internet Protocol address or comparable technical record;
- acceptance event and method; and
- subsequent reacceptance or reauthorization records.
Organizer agrees that these electronic records constitute evidence of acceptance and may be used in the same manner as a handwritten signature.
19. Entire Agreement; No Waiver; Severability
This Agreement and the incorporated policies constitute the complete agreement concerning Organizer's operation of a Campaign and supersede prior oral or written discussions on that subject.
A failure to enforce a provision is not a waiver.
If a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent, and the remaining provisions will remain effective.
Headings are for convenience and do not limit the meaning of any provision.
20. Acceptance Certification
By accepting this Agreement, the signatory certifies that:
- the signatory has read and agrees to this Agreement;
- the signatory has authority to bind Organizer;
- Organizer has authorized the Campaign;
- the information supplied to GiveBrick is accurate;
- Organizer accepts responsibility for its Campaign and legal obligations;
- Organizer authorizes the Stripe connected-account and application-fee structure described above; and
- Organizer understands that a Campaign cannot publish or continue accepting payments unless GiveBrick's applicable verification, eligibility, and payment controls are satisfied.
